Shares in Banca Generali rose 1.5% on Thursday, making the private bank one of the top performers on the Milan stock exchange following Italian media reports that parent company Generali may prepare an anti-Intesa takeover bid.
"There is no evidence" to support the report, said a person close to the matter on Thursday.
Generali's Stake and Cost Estimates
Generali currently holds a 50.2% controlling stake in Banca Generali. According to market estimates published by Investing.com, acquiring the remaining shares would require approximately €3.5 billion, or $3.9 billion, based on current market valuations and excluding any potential takeover premium.
Reports from the Italian newspaper Il Giornale indicate that any prospective move by Generali should be interpreted as defensive maneuvering against Intesa Sanpaolo. The unfolding speculation intersects with separate consolidation efforts across the Italian banking sector.
Upcoming Monte dei Paschi Vote
On October 29, shareholders of Banca Monte dei Paschi are scheduled to vote on a competing proposal for Banca Generali. That Tuscan bank bid is widely viewed by analysts as a strategic effort by MPS to bolster its defenses against a potential takeover approach by Intesa Sanpaolo.
Banking consolidation in Italy has accelerated as major institutions vie for wealth management assets and scale. Banca Generali operates as a major private banking and financial advisory arm, making its ownership structure a focal point for broader market dynamics involving Generali, Intesa Sanpaolo, and Monte dei Paschi.
