Workday director and 10% owner David A. Duffield sold approximately $37 million of Class A Common Stock in early October 2026. This sale follows a 66% increase in the company's share price over the previous six months.
The divestment occurred through two separate transactions during the first week of the month. According to an Investing.com report, Duffield sold 98,446 shares on October 1, 2026, for approximately $18.4 million. A subsequent filing noted a second sale on October 6, 2026, involving 99,228 shares for a total value of $18.6 million.
Mechanism of the Sale
All transactions were executed pursuant to a pre-arranged Rule 10b5-1 trading plan. The David A. Duffield Trust adopted this plan on December 2, 2025.
Rule 10b5-1 plans allow company insiders to set up a predetermined schedule to sell a specific number of shares at specific times. This mechanism provides an affirmative defense against accusations of insider trading by removing the element of discretion from the timing of the sales. The schedule is established while the insider is not in possession of material non-public information.
Market Context
The sales coincide with a period of growth for Workday. Over the six months leading up to the October transactions, the company's share price appreciated by approximately 66%. As of October 16, 2026, Workday Inc. (WDAY) was trading at $190.81.
Investors often monitor insider transactions to gauge leadership sentiment regarding a company's valuation. Because these sales were conducted under a scheduled plan adopted nearly a year prior, they reflect a pre-set liquidity strategy instead of a reactive response to recent market performance.
