Martine A. Rothblatt, Chairperson and CEO of United Therapeutics, sold $10.3 million in company stock during October 2026. The transactions followed the exercise of stock options and were executed under a pre-arranged trading plan, according to regulatory filings.
"The transactions were conducted pursuant to a Rule 10b5-1 trading plan adopted on November 7, 2025, which allows insiders to sell shares at predetermined times to avoid concerns over non-public information," according to an industry report.
Breakdown of Insider Transactions
Rothblatt executed two tranches of sales during the month:
- October 2, 2026: 9,500 shares sold for approximately $5.2 million.
- October 14, 2026: 9,500 shares sold for approximately $5.1 million.
As of October 16, 2026, United Therapeutics (UTHR) stock was trading at $533.12 per share, according to Finnhub market data.
Understanding Rule 10b5-1 Trading Plans
Corporate insiders, such as CEOs and board members, often possess material non-public information that could influence stock prices. To prevent accusations of insider trading, the Securities and Exchange Commission (SEC) created Rule 10b5-1.
This mechanism allows executives to establish a written plan for selling a predetermined number of shares at specific times or prices. Once the plan is adopted (in this case, on November 7, 2025), the executive relinquishes control over the timing of individual trades. This provides a legal defense that the sales were not triggered by recent corporate developments or private knowledge.
Recent Corporate Developments
The stock sales coincide with a period of legal resolution for United Therapeutics. The company recently reached a settlement agreement with Liquidia Technologies to resolve all outstanding patent litigation between the two firms. Under the terms of the deal, Liquidia agreed to pay United Therapeutics $380.7 million, according to a recent filing.
For shareholders, these insider sales are a standard part of executive compensation and liquidity management. Because the trades were scheduled nearly a year in advance, they reflect long-term financial planning instead of a reactive response to the recent litigation settlement.
