Tenable Prices Upsized $725M Convertible Notes Offering

Tenable Holdings priced an upsized $725 million convertible notes offering due 2031 to fund share buybacks and debt repayment.

Tenable Holdings priced an upsized $725 million private placement of convertible senior notes due 2031, allocating proceeds toward share repurchases, debt reduction, and capped call transactions, according to an Investing.com report.

The cybersecurity firm expanded the debt offering from an initially announced $650 million, targeting qualified institutional buyers with an interest rate of 0.25% ahead of a scheduled September 15, 2026, closing date.

"Tenable Holdings Inc. priced $725 million in convertible senior notes due 2031 in a private placement to qualified institutional buyers, upsized from the previously announced $650 million," according to Investing.com.

Conversion Pricing and Capped Calls

The notes carry an initial conversion price of approximately $44.84 per share, marking a 40% premium over the company's September 10, 2026, closing price of $32.03. To mitigate potential equity dilution upon conversion, Tenable committed approximately $58.1 million of the net proceeds toward purchasing capped call transactions.

Financial derivatives such as capped calls are commonly deployed by corporate issuers alongside convertible debt to raise the effective dilution threshold, protecting existing shareholders if the underlying stock appreciates significantly before maturity.

Deployment of Net Proceeds

Beyond the capped call agreements, Tenable detailed specific allocations for the capital raised through the institutional placement. The company plans to repurchase approximately $170.5 million of its common stock, equating to about 5.3 million shares priced at $32.03 each.

The remaining funds will be directed toward repaying outstanding term loans under Tenable's senior secured credit facility and supporting general corporate operations. Additionally, the agreement grants initial purchasers a 13-day option to acquire an additional $75 million in notes.

What Convertible Offerings Mean for Balance Sheets

Convertible senior notes allow technology firms to secure low-coupon financing, sitting here at 0.25%, by offering lenders equity upside potential. For Tenable, the combination of low-interest debt, targeted share repurchases, and term loan reduction alters its capital structure while addressing shareholder dilution through the capped call overlay.
