GameStop President, CEO and Chairman Ryan Cohen expanded his equity stake by purchasing 1 million shares for approximately $20.3 million, lifting his total direct holdings to nearly 39.3 million shares amid broader corporate restructuring moves.
The transaction, disclosed in an Investing.com report, highlights insider accumulation as the video game retailer navigates capital changes and an upcoming acquisition.
Insider Buying and Shareholder Stakes
Cohen acquired 1,000,000 shares of Class A Common Stock on September 10, 2026, at a weighted average price of $20.3759 per share, bringing the total transaction value to $20,375,900. Following this open-market purchase, Cohen directly holds 39,347,842 shares of GameStop common stock.
Director James Grube also added to his position, purchasing 10,255 shares on September 9, 2026, for about $196,000 at a weighted average price of $19.12 per share.
Convertible Note Exchanges and Capital Restructuring
The insider purchases arrive as GameStop works through major balance sheet adjustments. The company recently agreed to exchange roughly $1.4 billion in convertible senior notes for shares of its Class A common stock, encompassing $400 million in notes due in 2030 and $1 billion in notes due in 2032.
Debt-to-equity exchanges of this scale reduce near-term fixed obligations and interest expenses, though they simultaneously increase the total share count, making authorized share limits a critical factor for corporate governance.
Shareholder Approval for the eBay Acquisition
To accommodate these capital changes and strategic growth initiatives, GameStop sought authorization to expand its share supply. At the 2026 Annual Meeting, shareholders approved an amendment backed by 68.7% of votes cast to increase authorized Class A common stock.
This authorization supports GameStop's proposed acquisition of eBay Inc., aligning the retailer's equity structure with the share issuance requirements needed to complete the transaction.
