The SOC Investment Group is asking Anthropic to postpone its planned $2 trillion initial public offering. The group argues that the company's June confidential SEC registration statement is obsolete because of changes in AI safety and regulation.

The group represents union-sponsored pension funds. They contend that the filing ignores recent hacking incidents, existential risk warnings, and new public-private regulatory frameworks. This request highlights the tension between the commercialization of frontier AI models and internal warnings about the technology's potential for catastrophic outcomes.

"As AI leaders are raising alarms about the pace of development, Anthropic should delay its IPO. Just as they say there are risks on the technology side, there are also too many unknown risks to investors right now," said Richard Clayton, Research Director at SOC Investment Group, in a statement.

Internal Warnings on Alignment Risks

This investor pressure comes as members of Anthropic's research staff have expressed concerns regarding the trajectory of superintelligence. Company leadership has acknowledged these challenges. CEO Dario Amodei has estimated the probability of human-level AI causing catastrophic outcomes, known as p(doom), to be between 10% and 25%.

Other senior staff have stated that current technical safeguards remain insufficient. Evan Hubinger, the lead of Anthropic's Alignment Science team, has stated:

"We really do earnestly believe AI could kill all humans! I personally think it is >10% within the next decade. I believe Anthropic is trying its best, but we do not yet have a plan to solve alignment for superintelligence and are not clearly on track to."

Market and Regulatory Uncertainty

The gap between the June filing and the current environment involves more than internal research. The industry has faced security breaches and increased scrutiny from policymakers, creating a difficult backdrop for a public offering of this scale. For investors, the lack of an alignment solution, which is the process of ensuring AI systems act in accordance with human intent, presents a risk to long-term business viability.

Drake Thomas, a researcher at Anthropic, highlighted the intensity of the internal culture regarding these risks:

"I would burn my equity to the ground in a heartbeat for a 1% higher chance we make it out of this situation alive. I expect a great many of my colleagues across the industry would as well. I promise you, we are actually just fucking scared, it’s not galaxy brained marketing."

The SOC Investment Group argues that potential shareholders require a comprehensive disclosure of these existential and operational risks before the company proceeds with its public market debut.
