Slovenia-based Nova Ljubljanska Banka (NLB) has announced plans to issue €300 million in subordinated notes to strengthen the institution's Tier 2 capital base. The issuance depends on prevailing market conditions and will be offered exclusively to professional clients and eligible counterparties outside of the United States.
The bank has appointed a syndicate of financial institutions to manage the transaction. The joint lead-managers for the issuance include BofA Securities Europe SA, Erste Group Bank AG, Goldman Sachs Bank Europe SE, and UBS Europe SE, with NLB also acting as a lead manager.
Understanding Tier 2 Capital
Regulators require banks to maintain specific capital buffers to ensure they can absorb losses during periods of financial stress. Tier 2 capital, known as supplementary capital, serves as a secondary layer of protection behind Tier 1 capital, which consists primarily of common equity and retained earnings.
In the event of a bank's liquidation, Tier 2 instruments are subordinate to depositors and senior creditors. They are paid out only after these higher-priority claims are satisfied. These instruments typically carry higher yields than senior debt because of this risk profile, compensating investors for their position in the capital stack.
Terms of the Proposed Issuance
According to the announcement, the proposed notes are structured with a 10-year maturity. The bank has included a call option that allows it to redeem the debt after five years. This structure is common in bank capital instruments, as it provides the issuer with flexibility to manage its capital structure and interest expenses as market conditions evolve.
By bolstering its Tier 2 capital, NLB intends to maintain regulatory compliance and support its lending operations across the region. The bank is targeting professional investors for this private placement and excluding U.S.-based participants from the offering.
