Skyworks Nears $22B Qorvo Merger and Announces Buyback Program
Skyworks Solutions is nearing its $22 billion merger with Qorvo, announcing a $2 billion share buyback program and the elimination of its dividend.

Skyworks Solutions is approaching the final stages of its $22 billion merger with Qorvo. This deal aims to scale its radio frequency and mixed-signal semiconductor operations. As the company awaits final regulatory clearance, management is pivoting its capital allocation strategy to prioritize share repurchases over dividend payments.
"We are just waiting right now, I would say. These things are never certain. We are around the airport, just waiting for permission to land," said Phil Brace, CEO of Skyworks, regarding the merger status during the Goldman Sachs conference.
Merger Synergies and Financial Outlook
The transaction is expected to close within the 2024 calendar year. Upon completion, the combined entity targets $500 million in cost synergies to be realized over a 24 to 36-month period. Pro forma revenue for the combined company is projected to range between $8.0 billion and $8.1 billion, with mobile-related revenue expected to represent approximately 57% of that total.
This consolidation occurs as the semiconductor industry faces pressure to scale production capacity and R&D spending to meet demand in the mobile and Internet of Things (IoT) sectors. By combining, Skyworks and Qorvo aim to consolidate their respective RF portfolios, which are components in wireless communication infrastructure.
Capital Allocation Shift
Alongside the merger progress, Skyworks has announced a change to its capital allocation framework. The company is authorizing a new $2 billion share repurchase program and eliminating its quarterly dividend. This shift reflects a management philosophy focused on maximizing shareholder returns through direct equity reduction instead of traditional income distributions.
"I’m singularly focused on growing the stock price. I wasn’t brought here to do anything else, and I’m just not going to sit still," Brace said during the conference.
Strategic Implications for Shareholders
The decision to eliminate the dividend and prioritize buybacks underscores a bet on the company’s internal valuation. By retiring shares, the company aims to increase earnings per share for remaining holders, assuming the projected synergies from the Qorvo integration materialize as planned. The success of this strategy hinges on the timely closing of the merger and the subsequent integration of the two semiconductor companies' engineering and supply chain operations.
