Schneider Electric Sinks as J.P. Morgan Cuts Rating on PTC Deal

Schneider Electric shares fell 3% after J.P. Morgan downgraded the stock to neutral following its planned $23.7 billion acquisition of PTC.

Shares in Schneider Electric fell 3% on Tuesday after J.P. Morgan downgraded the energy management and industrial automation group to 'neutral' from 'overweight', citing valuation headwinds from its planned acquisition of software maker PTC.

"While we acknowledge the strategic merits, the deal weighs on the valuation multiple," said Phil Buller, analyst at J.P. Morgan, in a note to clients regarding the rating change.

Following the downgrade, J.P. Morgan reduced its December 2027 price target for Schneider Electric to €310 from €345. The brokerage also lowered its target multiple to 18.5 times forecasted fiscal 2027 enterprise value to earnings before interest, taxes, and amortization (EV/EBITA), down from 20.5 times previously.

Financing the $24 Billion PTC Acquisition

The sell-off follows Schneider's agreement to acquire PTC in an all-cash transaction priced at $205 per share. The deal values the software company at approximately $22.6 billion in equity value and $23.7 billion in enterprise value, marking a 42.3% premium over PTC's prior closing price.

To fund the roughly €22 billion cash consideration, Schneider plans to issue about €5 billion to €6 billion in new equity and take on approximately €16 billion to €17 billion in new debt. As part of these capital-allocation shifts, the company expects to pause its share buyback program through 2027 and 2028.

Strategic Pivot Toward Industrial Automation

J.P. Morgan's previous 'overweight' rating relied heavily on the organic growth of Schneider's Energy Management division, a segment that accounts for roughly 85% of the group's total profit. Analysts note that the acquisitions of PTC and Cognite signal a broader strategic pivot toward the company's Industrial Automation business.

This capital-intensive shift, combined with heavy debt issuance and an upcoming equity dilution, prompted the brokerage to reassess the company's risk-reward profile over the medium term.
