Rocket Lab Chief Financial Officer Adam Spice sold 140,157 shares of common stock valued at approximately $8.78 million, following the execution of employee stock options. The transactions, executed on September 2, 2026, occurred as aerospace equities navigate shifting market valuations and heightened investor focus on executive equity management.
How Rule 10b5-1 Plans Operate
The stock dispositions were carried out automatically under a pre-arranged Rule 10b5-1 trading plan. Corporate insiders utilize these plans to establish a predetermined schedule for buying or selling company stock at a time when they are not in possession of material, non-public information.
By adopting the plan on June 3, 2026, Mr. Spice insulated the subsequent September transactions from accusations of insider trading. This regulatory mechanism allows executives to diversify their personal portfolios or realize compensation gains without violating securities laws against trading on privileged corporate insights.
Option Exercise Mechanics
The multi-million-dollar stock sale directly followed the acquisition of the same 140,157 shares through the exercise of employee stock options. Originally granted on August 3, 2018, those options carried an exercise price of $1.09 per share, totaling an aggregate acquisition cost of $152,771.
During the September 2 transactions, the common stock was sold at open-market prices ranging from $61.5900 to $63.4700 per share. The wide margin between the 2018 grant price and the 2026 execution prices highlights the long-term appreciation captured by executive compensation packages over nearly a decade of company growth.
Ownership Holdings and Remaining Stakes
Following the completion of the option exercises and subsequent sales, Mr. Spice retains a substantial direct and indirect equity stake in Rocket Lab. He directly holds 1,155,967 shares of common stock, alongside an additional 250,000 shares indirectly owned through a trust.
In addition to his current stock holdings, Mr. Spice retains unexercised employee stock options to purchase an additional 2,382,668 shares. Public filings regarding these executive transactions provide retail and institutional investors with transparent insight into insider liquidity events and long-term equity retention within the aerospace firm.
