CrowdStrike Holdings, Inc. President and CEO George Kurtz sold $4.16 million in company shares through a pre-arranged trading plan, matching a period where the cybersecurity stock trades near a $220 billion market capitalization following triple-digit gains over the past year.
Mr. Kurtz disposed of 19,000 shares of Class A common stock across transactions executed on September 2 and September 3, 2026, netting a total of $4,164,831. The shares traded at prices ranging from $201.19 to $214.75 per share, according to SEC disclosures.
Mechanics of the 10b5-1 Trading Plan
The insider transactions were executed pursuant to a pre-arranged 10b5-1 trading plan that Mr. Kurtz adopted earlier this year on January 6, 2026. Rule 10b5-1 plans allow corporate insiders to establish predetermined schedules to buy or sell specified amounts of stock at a future date.
By adopting these plans during periods when they do not possess material non-public information, executives and directors can execute routine asset diversification and liquidity management without running afoul of insider trading regulations.
