RHI Magnesita Confirms 549p Per Share Takeover Talks for Vesuvius
RHI Magnesita is in advanced talks for a 549p-per-share cash-and-share acquisition of Vesuvius plc, backed by top shareholder Cevian Capital.

RHI Magnesita confirmed advanced takeover discussions with Vesuvius plc regarding a cash-and-share acquisition proposal valued at 549 pence per share, representing a 47% premium over Vesuvius's previous closing price.
Under the proposal submitted in an Investing.com report, Vesuvius shareholders would receive 470 pence in cash alongside approximately 0.028 new RHI Magnesita shares for each share held. The valuation is calculated based on RHI Magnesita's closing market price on September 28.
Premium and Previous Rejection
The current 549 pence valuation marks a 23% increase from an earlier proposal of 448 pence per share made on September 29, 2025, which the Vesuvius board rejected. The latest terms outpace the previous baseline by 101 pence per share, lifting the total potential transaction value significantly higher.
In addition to the buyout terms, Vesuvius shareholders registered as of September 4 remain entitled to receive the 2026 interim dividend of 7.1 pence per share, payable on October 8 without any reduction applied to the headline offer price.
Shareholder Support and Regulatory Deadlines
Cevian Capital II Master Fund L.P., which serves as Vesuvius's largest shareholder with a 23% equity stake, has signed an irrevocable undertaking to support the proposed transaction provided the Vesuvius board recommends the offer.
Under UK Takeover Panel rules governing corporate transactions, RHI Magnesita is required to announce a firm intention to make an offer or formally walk away by 5:00 pm on October 27.
