PepsiCo reduced the estimated fair value of potential bonus payouts tied to its acquisition of prebiotic soda brand Poppi to $12 million. This change follows decelerating growth and missed financial benchmarks.

The downward valuation adjustment shows pressure on the beverage company's acquisition strategy. This figure differs from the multi-million dollar projections made when the transaction was finalized.

"We remain dissatisfied with our soft drink performance," said Ramon Laguarta, Chief Executive Officer, PepsiCo, during a recent earnings call addressing segment results.

Plunging Contingent Consideration Valuations

According to regulatory disclosures, PepsiCo pegged the fair value of performance-based contingent consideration for the Poppi deal at $12 million as of Sept. 5. That valuation is down from the $117 million projected in June and the $278 million estimated in December.

The revisions result from cumulative pre-tax adjustments of $105 million over a 12-week span, reaching $266 million over a 36-week period. These adjustments use valuation techniques, such as Monte Carlo simulations, to assess the probability that Poppi will achieve its required performance metrics.

The Poppi Acquisition and Earnout Terms

PepsiCo acquired Poppi in May 2025 for $1.9 billion in cash. The purchase agreement included $300 million in contingent earnout bonuses payable if undisclosed financial targets are met by the third quarter of 2027.

Contingent consideration structures allow acquiring companies to bridge valuation gaps with sellers by tying a portion of the purchase price to future operational milestones. When acquired brands experience slower sales growth or miss profitability targets, accounting rules require companies to write down the estimated liability, which impacts pre-tax earnings.

What the Revisions Mean for Beverage Strategy

Despite the write-downs in potential bonus payouts, PepsiCo management indicated plans to increase marketing and distribution investments in Poppi. The prebiotic soda brand will continue receiving capital alongside established portfolio staples like Pepsi and Mountain Dew as the company attempts to improve beverage segment performance.
