The September 4, 2026, stock sales occurred while Krystal Biotech hovered near a 52-week high of $382.54 per share. The company's stock has surged 139% over the past year, reflecting market performance for the commercial-stage gene therapy developer.

Execution and Pricing Details

According to regulatory filings, Mr. Krishnan's share sales were executed across a price range from $353.98 to $366.91 per share. The transactions were carried out pursuant to a Rule 10b5-1 trading plan that was originally adopted on September 4, 2025, and has now fully terminated with the completion of these sales.

Rule 10b5-1 plans allow corporate insiders to establish predetermined trading schedules to buy or sell company stock at a time when they are not in possession of material non-public information. This mechanism provides a legal defense against potential insider trading accusations by decoupling executive stock sales from short-term market timing or immediate company news.

Remaining Holdings and Trust Structure

Following the completion of the September transactions, Mr. Krishnan maintains a substantial direct stake in Krystal Biotech, holding 1,347,543 shares of common stock directly.

In addition to his direct ownership, Mr. Krishnan maintains indirect beneficial ownership through several family trusts:
