Kala Bio Secures Exclusive U.S. Rights to Virotek Genetic Eye Tests

Kala Bio has signed an exclusive U.S. distribution deal for Virotek's ophthalmology genetic testing, focusing on a milestone-based and capital-efficient growth model.

Kala Bio has finalized an exclusive distribution agreement with Virotek to market and sell its ophthalmology genomic testing and screening program in the United States. The partnership uses Kala’s established commercial infrastructure to increase market reach for Virotek’s diagnostic tools while keeping operations lean for both firms.

"This agreement grants Kala exclusive U.S. rights to a commercially active genomic testing program in ophthalmology, a field in which Kala has operated for more than a decade," said Avi Minkowitz, Chief Executive Officer of Kala, in a statement.

Operational Division of Labor

Under the terms of the agreement, the two companies split their responsibilities to focus on their core competencies. Kala Bio will oversee the commercial aspects of the partnership, including marketing, promotion, distribution, and the resale of the genetic testing services.

Virotek retains responsibility for the underlying program infrastructure. This includes the supply of testing kits, the technical processing of specimens, and the final delivery of clinical reports to healthcare providers.

"Signing this agreement moves us from intent to execution. Kala's commercial reach and public-company platform provide our ophthalmology program with a fast path to eye care practices, telehealth channels, and patients across the United States," said Dr. Saeid Babaei, Chairman and Chief Executive Officer of Virotek.

Milestones and Future Expansion

The initial distribution deal is set for a one-year term. The agreement includes performance-based provisions where Kala Bio’s continued exclusivity depends on meeting specific commercial milestones established by the two companies. This structure aligns incentives while keeping upfront capital expenditure low.

Looking beyond the initial ophthalmology focus, the companies have established a framework to expand the partnership into other therapeutic and service areas. Potential future collaborations include:

  • Oncology diagnostic initiatives
  • Preventive health screening programs
  • Integration into existing telehealth channels
  • White-label distribution opportunities

Strategic Context

For Kala Bio, the deal is a strategy to diversify its service offerings within the eye care sector, where it has maintained a presence for over ten years. By utilizing Virotek’s existing diagnostic platform, Kala avoids the R&D and regulatory costs associated with developing proprietary genetic testing infrastructure. The partnership also provides Virotek with access to a public-company platform and an established network of eye care practitioners to shorten the time required to achieve commercial scale.
