Innovative Industrial Properties has priced a public offering of 2 million shares of its 9.25% Series B Cumulative Redeemable Preferred Stock at $25.00 per share, targeting $50 million in gross proceeds to fund life science industry commitments. The real estate investment trust structured the offering to close on October 19, 2026, while granting underwriters a 30-day option to buy up to 300,000 additional shares to cover overallotments.
How Cumulative Redeemable Preferred Stock Operates
Preferred stock sits between debt and common equity in a company's capital structure, prioritizing dividend payments over common shareholders. Cumulative preferred stock requires the issuer to pay any missed dividend distributions before resuming dividends on common shares, offering income-focused investors added downside protection compared to standard equity.
The newly priced Series B shares are slated to trade on the New York Stock Exchange under the ticker symbol IIPR Pr B, according to reporting from Investing.com. Stifel is acting as the active bookrunner for the transaction, supported by a syndicate of passive bookrunners and co-managers handling the underwriting book.
Use of Proceeds and Life Science Commitments
Net proceeds from the $50 million offering are earmarked primarily to satisfy remaining unfunded capital commitments under a previously disclosed mezzanine loan investment tied to the life science sector. Any remaining capital will be directed toward general corporate purposes and prospective property investments.
The deployment into life science commitments marks a capital allocation strategy for the real estate firm, which traditionally focuses on specialized industrial properties. By utilizing a fixed-income-style preferred equity instrument, the company secures capital without diluting existing common shareholders while addressing its sector-specific funding obligations.
