Hong Kong's securities regulator has issued direct guidance to investment banks on handling regulatory raids as a surge in share sales heightens scrutiny over listing abuses. The move comes as capital raising activity accelerates across the territory's financial markets.

"Staff should respond to search warrants, including arranging immediate access for investigators and allowing same-day access to employee emails and computer systems," said Kenneth Luk, senior director of the Securities and Futures Commission’s enforcement division, in a briefing with executives from around 10 brokers.

The Surge in Hong Kong Share Sales

The regulatory push follows a sharp expansion in public offerings and secondary placements. Funds raised through initial public offerings and secondary share placements jumped 76% to HK$651 billion, equivalent to $83.5 billion, in the first eight months of 2026, according to Hong Kong stock exchange data.

This rapid market growth has coincided with heightened enforcement activity. The Securities and Futures Commission recently suspended trading in eye-treatment developer Cloudbreak Pharma, citing serious concerns that its IPO may have been "rigged to create an artificial impression of demand" for its shares.

How Regulatory Enforcement Operates

The SFC stated it had not issued written directives providing formal guidance on raids, but the agency periodically shares expectations and actionable protocols with market participants during compliance reviews. These discussions focus on ensuring financial institutions maintain transparent internal controls and cooperate fully with statutory investigations.

At stake for the financial sector is the integrity of Hong Kong's primary markets. As financial institutions navigate complex transactions and elevated listing volumes, regulators are increasing oversight to prevent market manipulation and protect investor confidence.
