Healthcare Services Group (HCSG) has acquired NEXDINE Hospitality for an upfront price of $93.5 million. This move is intended to grow the company's presence in the senior living and hospitality-driven care sectors. The transaction, funded entirely through cash on hand, is expected to add more than $150 million in annual revenue to HCSG’s operations.
"This acquisition represents a significant milestone for HCSG as we expand our footprint into the rapidly growing senior living and hospitality-driven care markets," said Ted Wahl, President and CEO of Healthcare Services Group, in a statement regarding the deal.
Operational Structure and Integration
Under the terms of the agreement, NEXDINE will function as a wholly-owned subsidiary of HCSG. The company will maintain its current headquarters in Mansfield, Massachusetts, and will retain its existing leadership team, including Founder and CEO David Lanci. The deal includes provisions for additional payments to NEXDINE contingent upon the achievement of specific performance targets.
"For nearly two decades, NEXDINE has been guided by the belief that service begins with great people and strong client relationships. In HCSG, we found a partner who shares those values and our vision for elevating the hospitality experience," said David Lanci, Founder and CEO of NEXDINE Hospitality, in a joint announcement.
Strategic Expansion into Senior Living
This acquisition marks a shift for HCSG, which has historically focused on housekeeping, laundry, and dietary services for healthcare facilities. By bringing NEXDINE into its portfolio, HCSG gains an operator with experience in hospitality-focused dining and facility management within the senior living space.
For HCSG, the move serves as a mechanism to diversify its service offerings. HCSG provides the scale and financial backing of a public enterprise, while NEXDINE brings an operational model that has been refined over nearly 20 years. The decision to keep NEXDINE as a distinct brand under the HCSG umbrella suggests a strategy of maintaining the hospitality-first culture that has defined NEXDINE’s market presence while leveraging HCSG’s broader infrastructure to drive growth.
