Ember Bids £498M for Ashtead Technology in Fourth Offer

Ember Infrastructure Management makes a £498 million takeover proposal for Ashtead Technology at 615 pence per share.

Ember Infrastructure Management submitted a fourth, unsolicited cash takeover proposal for British subsea technology firm Ashtead Technology at 615 pence per share, valuing the company at roughly £498 million ($659.75 million). The offer represents a 12.8% premium over Ashtead's last closing price of 545 pence, according to a report from Global Banking & Finance Review.

"Ashtead Technology Holdings plc received an unsolicited takeover proposal from Ember Infrastructure Management, LP at 615 pence per share in cash," according to Investing.com UK coverage.

History of Takeover Approaches

The latest bid follows a sequence of rejected overtures from the private equity firm. Ashtead's board previously turned down the first two proposals put forward by Ember before this fourth revised offer materialized.

The repeated attempts highlight growing private equity interest in subsea equipment providers and offshore energy support infrastructure as global offshore wind and oil developments expand.

Regulatory Deadlines and U.K. Rules

Under strict U.K. Takeover Code regulations, potential bidders operate under a hard timeline once an approach becomes public.

Ember Infrastructure Management must announce a firm intention to make an offer under Rule 2.7 of the Takeover Code or walk away. The Panel on Takeovers and Mergers has set a deadline of 5:00 pm London time on October 21, 2026, for Ember to clarify its intentions.

What Is at Stake for Subsea Markets

For Ashtead Technology, the £498 million valuation tests whether management and shareholders view the 12.8% premium as sufficient compensation for the independent firm's long-term growth prospects in offshore rentals and services.

A successful buyout by Ember would take the subsea specialist private, shifting its capital structure away from public equity markets as consolidation continues across energy services sectors.
