DoorDash director Stanley Tang sold $4.3 million in Class A common stock following a 1:1 conversion of Class B shares, executing the transactions through a pre-arranged trading plan as the food delivery platform's stock moved lower.

According to an Investing.com report, Mr. Tang disposed of 23,125 shares of Class A Common Stock on October 2, 2026. The sales generated a total value of $4,305,694, with individual transaction prices ranging from $180.85 to $189.33 per share.

Execution Under Rule 10b5-1 Plan

The transactions were carried out pursuant to a Rule 10b5-1 trading plan that Mr. Tang adopted on December 3, 2025. Under SEC regulations, such plans allow corporate insiders to set up a predetermined schedule for selling shares at a time when they are not in possession of material non-public information, helping shield executives and directors from allegations of insider trading.

The shares sold were held indirectly by The ST Trust. Prior to executing the sale on October 2, Mr. Tang converted 23,125 shares of Class B Common Stock into Class A Common Stock at a 1:1 ratio.

Dual-Class Share Structure Explained

Many technology companies utilize a dual-class share structure to grant founders and early executives outsized voting control while providing public investors with standard Class A shares. In DoorDash's corporate framework, Class B shares carry multiple votes per share compared to Class A common stock.

Insiders frequently convert Class B shares into Class A stock on a 1:1 basis specifically to facilitate open-market sales or estate planning, as Class A shares trade publicly and represent the liquid component of their equity compensation.

Market Context and Trading Performance

DoorDash Inc. (NYSE: DASH) traded at $189.15, down 2.02%, compared to its previous close of $193.05, according to Finnhub market data as of October 16, 2026. Insider selling activity of this scale is regularly monitored by market participants to gauge executive sentiment, though pre-scheduled dispositions under 10b5-1 plans typically reflect personal portfolio management rather than reactive responses to short-term market movements.
