Brightstar Lottery PLC has launched a tender offer for its outstanding €500 million 2.375% Senior Secured Notes due 2028, pairing the buyback with plans for a new euro-denominated debt issue maturing in 2032 to extend its overall debt maturity profile. The refinancing effort allows the company to address near-term debt obligations while locking in longer-term capital in the European debt markets, according to a report from Investing.com.
Under the terms of the transaction, Brightstar Lottery is offering to purchase any and all Regulation S interests in the 2028 notes at a purchase price of €990.00 per €1,000 in principal amount. Holders who tender their notes ahead of the expiration terms will receive cash consideration below par value, reflecting current market yield dynamics for the existing fixed-income securities.
Timeline and Execution Details
The expiration deadline for the tender offer is set for 4:00 p.m. London time on September 15, with final settlement of the repurchased notes anticipated on September 18. The execution window gives institutional noteholders a brief period to evaluate the tender terms against prevailing secondary market conditions.
Concurrently, the company is preparing a benchmark offering of new euro-denominated senior secured notes due 2032. Proceeds from the new long-term issuance will be earmarked directly to fund the repurchase of the 2028 notes, pay down existing borrowings under the company's senior revolving credit facility, and cover transaction fees and expenses associated with the debt restructuring.
