Bain Capital and GIC are exploring an IPO or sale for Japan's WHI Holdings at a valuation of at least $3.2 billion.

Bain Capital and Singapore's GIC are exploring an initial public offering or a trade sale for Japan's WHI Holdings at a valuation of at least 500 billion yen ($3.2 billion), according to a Reuters report. The discussions remain at an early stage as the private equity backers weigh exit routes for the enterprise software provider.
Origins and Co-Control Ownership
Bain Capital originally established WHI in 2019 by executing a corporate carve-out and acquisition of the human resources software business previously operated by Works Applications.
Several years later, in March 2023, Singapore sovereign wealth fund GIC agreed to invest alongside Bain, establishing the two institutions as co-control shareholders in the Japanese software firm.
Core Operations and Market Reach
WHI operates primarily through its main operating subsidiary, Works Human Intelligence, which develops and sells specialized enterprise human resources systems.

- Talent management modules utilized by corporate clients
The company's software suite is currently deployed by approximately 1,200 large corporate groups across the Japanese market to manage administrative workflows.
Early-Stage Deliberations
While the co-control owners are actively evaluating strategic alternatives including a public debut or an outright acquisition, no final decisions have been finalized. According to the sources cited by Reuters, Bain and GIC retain the flexibility to defer a transaction and continue holding their ownership stakes.
