Algorhythm Holdings CEO Andrew Thompson increased his equity position in the company by acquiring over 4 million shares through a $23 million asset purchase agreement finalized on September 15, 2026. This transaction occurs while the company's stock, trading under the ticker RIME, has declined 93% over the past year and currently trades near 52-week lows at $0.14 per share.
Details of the Asset Purchase
According to an SEC Form 4 filing, the transaction involved Algorhythm Holdings acquiring assets from Azure Energy, LLC. As the managing member of Azure Energy, Thompson received 4,076,312 shares of common stock and 22,038 shares of Series B Preferred Stock as consideration for the assets.
Thompson was also awarded 2,119,542 restricted shares of common stock as an employment inducement, as disclosed in separate SEC filings. Half of these inducement shares vested immediately, and the remaining 1,059,771 shares are scheduled to vest on September 15, 2027.
Market Context and Financial Position
This consolidation of ownership follows a period of market decline for the firm. Algorhythm Holdings has faced downward pressure, resulting in a valuation that has shed nearly all of its market capitalization over the last 12 months.
For investors, the transaction changes the CEO's personal exposure to the firm's equity. By opting for company securities in exchange for the assets held by his private entity, Azure Energy, Thompson has tied a portion of his personal wealth to the performance of RIME shares. Companies facing liquidity constraints often use securities as currency for asset acquisitions to expand their asset base without depleting cash reserves.
