Torrent Gold Initiates $360,000 Non-Brokered Private Placement
Vancouver-based Torrent Gold Inc. is raising $360,000 through a private placement of 2.4 million units priced at $0.15 each to support working capital.

Vancouver-based mineral exploration firm Torrent Gold Inc. is seeking to raise up to $360,000 through a non-brokered private placement. The company plans to use these proceeds for general working capital. The financing structure uses units containing equity and warrants, which is a common mechanism for junior exploration companies to attract capital while managing share dilution.
According to an announcement from the company, Torrent Gold intends to issue up to 2,400,000 units at a price of $0.15 per unit.
Warrant Terms and Structure
Each unit offered in the placement consists of one common share and one common share purchase warrant. These warrants allow the holder to purchase an additional common share at a price of $0.20 per share for 24 months following the closing of the offering.
This structure provides investors with leverage on the company’s future stock performance. If the share price rises above the $0.20 strike price before the two-year expiration date, the warrants become in the money. This provides the company with a potential secondary influx of capital if holders choose to exercise them.
Regulatory Hold Periods
Under Canadian securities regulations, the securities issued in this private placement are subject to a statutory hold period. Investors will be restricted from trading these shares for four months and one day following the date of issuance.
These hold periods are a standard requirement for private placements in Canada. They ensure that securities are not immediately flipped into the public market without the company having first filed a prospectus. For small-cap exploration firms like Torrent Gold, private placements offer a cost-effective route to funding compared to public offerings, which involve higher underwriting fees and more extensive regulatory disclosure requirements.
