Snowflake director Benoit Dageville sold $16.8 million in company stock through a pre-arranged trading plan, trimming his holdings as the software maker's shares trade near six-month highs.
The transactions, executed on September 9, 2026, followed strong fiscal second-quarter results that pushed the enterprise cloud data platform's market valuation higher.
"The sale of 50,000 shares of common stock was conducted at a price of $335.72 per share, totaling $16,786,000, according to an SEC Form 4 filing."
Trust Holdings and 10b5-1 Plan Mechanics
The stock sale was carried out indirectly through The Snow Trust, where Dageville serves as a trustee. The transaction was structured under a pre-arranged 10b5-1 trading plan that Dageville adopted earlier in the year on April 3, 2026.
Rule 10b5-1 plans allow corporate insiders to set up a predetermined schedule to buy or sell company stock at a time when they are not in possession of material non-public information. This mechanism protects executives and directors from potential insider trading allegations by separating the decision to trade from the execution date.
In addition to the open-market sale, the regulatory filing shows that Dageville also gifted 16,668 shares of common stock valued at $0 through The Snow Trust under the exact same trading plan on the same date.
Current Share Ownership After Transactions
Following the completion of the sale and the stock gift, Dageville maintains a significant direct and indirect stake in Snowflake Inc. (NYSE: SNOW).

- Indirect holdings: 2,601,547 shares held through The Snow Trust.
