Understanding Rule 10b5-1 Plans
Corporate insiders like CEOs and board members are often privy to material, non-public information that could influence a company's stock price. To avoid legal concerns regarding insider trading, executives use Rule 10b5-1 plans to schedule sales or purchases in advance.
By adopting a plan when they are not in possession of sensitive information, executives set specific parameters, such as dates, price floors, or volume limits, for future transactions. Once the plan is established, the trading occurs automatically. This removes the executive's discretion over the timing of individual trades and provides a defense against potential allegations of market manipulation.
