Elton Resources Corp. (TSXV:DBAY) is raising up to C$5 million through a non-brokered private placement of flow-through units to accelerate exploration at its Darnley Bay critical mineral project. The company plans to use the proceeds to fund exploration activities that qualify as Canadian exploration expenses. These costs must be incurred by December 31, 2027.

Under the terms of the offering, Elton Resources is issuing up to 22,727,273 flow-through units at a price of C$0.22 per unit. Each unit consists of one flow-through common share and one-half of one common share purchase warrant. Each whole warrant allows the holder to purchase an additional share at C$0.30 for a period of three years.

How Flow-Through Financing Works

Flow-through shares are a financing mechanism used in the Canadian mining sector. The structure allows exploration companies to transfer their tax deductions related to exploration and development expenses to the investors who purchase the shares.

By renouncing these tax deductions, the junior mining company can raise capital at a premium compared to traditional equity offerings. This provides a tax-advantaged incentive for investors to fund early-stage mineral exploration, which is high-risk and capital-intensive. The arrangement is used by many companies operating in the Canadian junior mining market, where access to traditional bank financing for exploration projects is limited.

Transaction Details and Finders' Fees

The offering remains subject to regulatory approvals, including the approval of the TSX Venture Exchange. In connection with the private placement, Elton Resources noted in an official announcement that it may pay finders' fees to eligible parties who assist in the capital raise. These fees may consist of up to 6.0% in cash and non-transferable warrants, subject to the policies of the exchange.

For Elton Resources, the success of this placement is tied to the development of the Darnley Bay property. The company is positioning itself to capitalize on the demand for critical minerals, which are essential components in global decarbonization efforts and high-technology manufacturing.
