SL SPV-2, L.P., an entity tied to private equity firm Silver Lake and Dell Technologies Inc. director Egon Durban, sold approximately $26 million of Class C Common Stock as shares hovered near 52-week highs following a strong market rally. The insider transaction coincides with a period of elevated valuation for the hardware and infrastructure provider.
"SL SPV-2, L.P., a 10% owner and director of Dell Technologies Inc., along with affiliated entities, reported the sale of Class C Common Stock totaling approximately $25,990,973," according to an Investing.com report.
Transaction Details and Share Conversions
The September 9, 2026, filing data shows the transactions involved the disposition of 43,198 shares. Execution prices for the block ranged from $534.09 to $550.71 per share.
Alongside the open-market sales, the reporting entities executed internal share restructuring. The holders converted 71,348 shares of Class B Common Stock into an equal number of Class C Common Stock shares on the same date.
Silver Lake Connection and Governance
Egon Durban, who sits on the Dell Technologies board of directors, maintains a prominent role in the transacting entity. Durban serves as Chief Executive Officer and Managing Member of Silver Lake Group, L.L.C.
Silver Lake operates as the managing member of the general partner for SL SPV-2, L.P. Private equity firms frequently utilize special-purpose vehicles to manage large equity blocks and execute portfolio rebalancing maneuvers following prolonged equity appreciation.
