Corebridge Financial and Equitable executives detailed their pending merger at the KBW Insurance Conference, pitching the combination as a growth-driven transaction targeting a market capitalization above $30 billion and a 15% return on equity. The union aims to scale operations across life insurance and retirement markets, outpacing standalone forecasts through targeted capital deployment and cost discipline.
"This is a growth story," said Marc Costantini, stressing that the business is meant to serve more customers and deliver solutions to end consumers, according to a transcript report.
Financial Targets and Synergy Breakdowns
Executives outlined substantial financial projections for the combined entity during presentations at the conference. According to market coverage of the event, the merged company is projected to command more than $25 billion in statutory capital alongside approximately $5 billion in operating earnings and $4 billion in cash flow.
Total earnings per share accretion is projected to exceed 10%. Leadership attributed this growth primarily to $500 million in expense synergies, which account for 6% to 8% of the projected EPS accretion, while capital and tax efficiencies contribute an additional 2% to 4%.
"1 plus 1 equals 3," Marc Costantini remarked regarding the strategic rationale behind the transaction, according to financial news reports.
Integration Timeline and Regulatory Approvals
Integration planning is currently moving ahead of schedule. Leadership has already named 500 executives across the three primary organizational layers, establishing a management structure designed to hit a targeted year-end 2026 closing and an operational launch on January 1, 2027.
Regarding regulatory hurdles, the companies have already secured FINRA approval as well as shareholder approval, which was obtained in July 2024. Management is currently engaged in active discussions with four to five key state insurance regulators, alongside international regulatory bodies overseeing AllianceBernstein.
What Is at Stake for Insurers
Large-scale insurance mergers face intense scrutiny over reserve adequacy, policyholder protection, and operational integration risks. By combining distribution networks and asset management capabilities, Corebridge and Equitable are attempting to construct a balance sheet capable of absorbing macroeconomic volatility while maintaining high shareholder distributions in a consolidating sector.
