Centrus Energy Prices $500M Public Stock and Warrant Offering

Centrus Energy priced a $500 million public offering of Class A common stock and warrants, with closing slated for September 2026.

Centrus Energy priced an underwritten public offering to raise approximately $500 million in gross proceeds through a mix of Class A common stock, pre-funded warrants, and common warrants, according to a PR Newswire release. The capital raise comes as shares of Centrus Energy Corp (NYSE: LEU) recently traded at $163.53, down 1.41% from the previous close of $165.87, according to Finnhub market data.

Offering Structure and Pricing Terms

The transaction includes 500,000 shares of Class A common stock, 2,005,513 pre-funded warrants, and accompanying common warrants designed to purchase up to 6,992,382 additional shares. The combined public offering price was established at $199.64 per share of Class A common stock alongside its accompanying common warrants. Meanwhile, the price for each pre-funded warrant and accompanying common warrant was set at $199.54, reflecting a nominal one-cent difference to account for the pre-paid exercise price.

Financial warrants provide holders the right, but not the obligation, to purchase company equity at a predetermined strike price within a specific timeframe. Pre-funded warrants allow institutional or high-volume investors to acquire economic exposure immediately while deferring formal share issuance, a mechanism commonly used to avoid breaching statutory beneficial ownership concentration limits.

Use of Proceeds and Closing Timeline

"The closing of the offering is expected to occur on or about September 11, 2026, subject to customary closing conditions," according to the company statement.

Centrus Energy intends to allocate the net proceeds from the offering toward several key balance sheet objectives:

  • General working capital and ongoing corporate purposes
  • Advanced nuclear fuel technology development
  • Debt repayment obligations
  • Potential capital expenditures or strategic acquisitions

Guggenheim Securities is serving as the lead book-running manager for the offering. Barclays is participating alongside Guggenheim as a co-book-running manager.

What Is at Stake for Nuclear Fuel Markets

As a supplier of nuclear fuel and enrichment services, Centrus Energy plays a role in domestic uranium processing infrastructure. Equity and warrant offerings of this scale supply the capital required to expand uranium enrichment capacity and secure supply chains for advanced nuclear reactors, balancing dilution risks for existing shareholders against long-term operational scaling.
