Centrus Energy priced an underwritten public offering to raise $500 million through a combination of Class A common stock, pre-funded warrants, and common warrants, triggering a sharp pullback in company shares.
Offering Structure and Pricing Mechanics
The public offering consists of 500,000 shares of Class A common stock, pre-funded warrants to purchase 2,005,513 shares, and common warrants to purchase up to 6,992,382 shares, according to an Investing.com report. The transaction is expected to generate gross proceeds of approximately $500 million before accounting for underwriting discounts and related offering expenses.
The securities are priced at $199.64 per share of Class A common stock with accompanying common warrants, while the pre-funded warrants are priced at $199.54 with accompanying common warrants. Guggenheim Securities is acting as the lead book-running manager, with Barclays serving as book-running manager. The offering is scheduled to close on or about September 11, 2026.
Market Reaction and Stock Performance
Following the pricing announcement, Centrus Energy Corp (NYSE: LEU) experienced a negative market reaction. According to Finnhub market data, LEU shares traded at $152.31, down 8.18% from the previous close of $165.87.
Public equity offerings that include warrants and common stock frequently introduce immediate downward pressure on share prices due to the dilutive nature of expanding the total share count and the mechanics of warrant pricing relative to the prevailing market value.
