Belite Bio CEO Lin Yu-Hsin sold $19.1 million worth of company shares in early September 2026, offloading 90,835 American depositary shares. The transactions were executed under a pre-arranged trading plan as the company approaches a key regulatory milestone for its lead drug candidate, tinlarebant.
Between September 4 and September 8, 2026, the CEO sold the shares at prices ranging from $180.00 to $198.37 per share, according to a report. Following these sales, Lin retains direct beneficial ownership of 70,134 American depositary shares.
How Rule 10b5-1 Plans Function
The trades were conducted pursuant to a Rule 10b5-1 trading plan that Lin adopted on December 23, 2025. Such plans are a standard mechanism used by corporate insiders to sell a predetermined number of shares at set times or prices.
By establishing these parameters in advance, executives can sell stock without being accused of trading on non-public, material information. Because the timing and volume of the sales are locked in before the insider has access to sensitive company updates, these plans provide a legal safe harbor against insider trading allegations.
Regulatory Outlook for Tinlarebant
The stock divestment occurs as Belite Bio prepares for a regulatory decision. The U.S. Food and Drug Administration (FDA) has accepted the company's New Drug Application (NDA) for tinlarebant, a therapeutic candidate currently in the late stages of development. The agency has set a Prescription Drug User Fee Act (PDUFA) target date of February 12, 2027, for its decision on the application.
For investors and stakeholders, the PDUFA date marks the formal deadline for the FDA to complete its review of the drug's safety and efficacy data.
