Axon Enterprise priced a $1.0 billion offering of zero-coupon convertible senior notes due 2031, allocating proceeds toward capped call transactions and general corporate purposes while granting underwriters an option for an additional $150.0 million.
According to a PR Newswire release, the offering details were finalized following an SEC Form 424B5 filing submitted on September 17, 2026. The notes carry a 0% coupon and feature an initial conversion rate of 1.5336 shares per $1,000 principal amount, establishing an initial conversion price of approximately $652.06 per share.
Conversion Metrics and Capped Call Structure
The structuring of convertible debt involves specific financial instruments designed to manage equity dilution. Financial derivatives like capped calls are frequently paired with convertible note offerings to mitigate potential share dilution upon conversion by offsetting payments owed to noteholders above a designated cap price.
For this transaction, the cap price was set at $1,049.94. This represents a 137.5% premium over the last reported sale price of $442.08 per share on Nasdaq recorded on September 15, 2026.
Net Proceeds and Underwriter Options
Axon anticipates generating approximately $986.0 million in net proceeds from the primary offering, or up to $1,134.3 million if underwriters exercise their over-allotment option in full. Out of these funds, $99.9 million will be allocated directly toward the cost of the capped call transactions, with the remainder designated for general corporate purposes.
In public market trading as of September 18, 2026, shares of AXON ENTERPRISE INC (AXON) quoted at $447.76, marking a 1.27% decline from their previous close of $453.50, according to Finnhub market data.
