Accel-KKR to Buy Eleco in £208M Deal

Accel-KKR has agreed to acquire UK construction software firm Eleco plc for £207.6 million in a cash deal backed by the board.

Private equity firm Accel-KKR has agreed to take construction software provider Eleco plc private in a cash transaction valued at £207.6 million, according to an Investing.com report. The acquisition is structured through Avocet Bidco Limited, an entity owned by funds managed by the technology-focused investment firm.

Valuation and Premium Details

The offer price of 235 pence per share represents a substantial premium for current holders. According to Investing.com, the figure marks a 74.7 percent premium over Eleco's closing price of 134.5 pence, and a 77.7 percent premium to the 12-month volume-weighted average price.

The £207.6 million valuation covers the entire issued and to be issued ordinary share capital on a fully diluted basis, implying an enterprise value of £192.4 million for the London-listed software provider.

Financial Performance

The buyout proposal follows positive financial reporting from Eleco. For the financial year ended December 31, 2025, the company posted revenue of £38.8 million, representing a 20 percent increase. Adjusted EBITDA rose 32 percent to £10.2 million over the same period.

Transaction Timeline and Approvals

Completion of the acquisition depends on regulatory and shareholder clearances. The buyout requires approval through a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006, alongside standard shareholder approvals.

Accel-KKR and Eleco anticipate closing the transaction during or prior to the first quarter of 2027.
